November 8, 2018 Executive Committee Minutes


The Executive Committee of the Asheville-Buncombe Technical Community College Board of Trustees convened a meeting on Thursday, November 8, 2018, at 4:00 p.m. in the Simpson Building. Mary Ann Rice, Chair, presided.

The following members of the Executive Committee were present: Joe Brumit, Frances Ramsey, and Roger Metcalf.

Additional Trustees present for the meeting included: Trustees Matt Kern and Bill Murdock.

Others present for the meeting included: Dennis King, President; Dirk Wilmoth, Vice President, Business and Finance/CFO; Chris Campbell, College Attorney; James Wilson, Pulliam Properties; and Carolyn Rice, Secretary to the Board.

At 4:00 p.m., Chair M. Rice called the meeting to order.

 

Closed Session

At 4:05 p.m., Mr. Joe Brumit moved that the Trustees enter into closed session pursuant to G.S. § 143.318.11 for the following purposes: under subsection (a)(1) to prevent the disclosure of privileged or confidential personnel information pursuant to G.S. § 115D 27-29, and under subsection (a)(3) to discuss matters protected by the attorney-client privilege. Ms. Frances Ramsey seconded the motion, which was unanimously approved.

On a motion properly made, the Committee returned to open session at 4:30 p.m.

 

Offers For A-B Tech Enka

Mr. James Wilson outlined the following offers that the College has received for the A-B Tech Enka property:

  1. Alabama developers McElroy & Associates have offered $8.2 Million for the entire A-B Tech Enka property.
  2. Greensboro developer Tim Dockery, in partnership with Rusty Pulliam, has offered $6 Million for the A-B Tech Enka property with an offer to build a 10,000-square-foot building for the College on either the A-B Tech Enka property or the Asheville campus. If the College does not want Mr. Dockery to build a building, then their offer should go up to $7.5 Million.

Both of the above buyers need to have leases in place with their tenants prior to purchase.

  1. Asheville developer Charlie Ball has offered $1.4 Million for a 7.7-acre parcel that includes the Haynes Tower. Mr. Ball proposes a sixty-day due diligence period and will close on the property in thirty days.

The Committee discussed the proposals at length and asked Mr. Wilson to inform McElroy & Associates and Mr. Dockery that the College was not interested in their offers.

The Committee will reconvene on November 13 to discuss and decide what to recommend to the full Board on December 3 regarding any counter offer to Mr. Ball. Dr. Dirk Wilmoth will inform Mr. Wilson of any decision made on November 14.

Mr. Wilson left at 5:30 p.m.

 

Other Business

The Committee discussed the August 13, 2018 Request for Accounting of the Article 46 Sales and Use Tax sent to Buncombe County Commissioner Brownie Newman. The College has not received an accounting of the funds or a response to the request, to date.

Mr. Brumit moved to send Chairman Newman and Interim County Manager Wood a Request for Public Records for Article 46 Sales and Use Tax. The motion was seconded by Dr. Metcalf and was approved unanimously by the Committee.
